Fred brings his over 30 years of experience in the practice of law in assisting his clients in the negotiation and completion of sophisticated and diverse commercial real estate and corporate/commercial transactions. Commercial real estate services include:
- representing real estate developers in the financing, acquisition and development of commercial real estate, including significant tracts of land in the City of Toronto’s waterfront area
- negotiating and crafting sophisticated leasing agreements for commercial landlords, including build-to-suit leases, ground leases and commercial leases
- representing real estate investors with respect to the corporate and tax-planned reorganizations of their holdings, including structuring and representing them in the disposition of such real estate holdings
- representing real estate developers and landlords with all aspects of their development documents including co-ownership agreements, limited partnerships, management and development agreements, equity participation agreements and the like
Corporate/commercial services include:
- representing clients on sales, acquisitions, mergers and private investments involving both assets and/or shares
- representing corporate and business clients in their on-going legal commercial requirements, including the negotiation and completion of leasing arrangements, credit facility transactions, employment and management agreements and various other commercial documents
- representing corporate business clients with their corporate requirements, including corporate reorganizations (whether for tax or estate planning purposes), shareholders agreements and general corporate governance matters
