Executive Summary

Barbara has an extensive corporate and commercial practice with extensive experience in foreign direct investment, securities, corporate finance, corporate governance, mergers and acquisitions and private equity. She also plays an active role in dispute resolution, assisting with settlements and supporting the prosecution of litigious matters - including providing expert legal opinions to the Court on commercial matters. Barbara works with both Canadian and international clients across a wide range of industries on Canadian and cross border matters.

She has advised issuers, controlling shareholders, independent committees, registrants and governmental agencies and has significant experience with transactions involving acquisitions, divestitures, and reorganizations with securities, regulatory, competition, and Investment Canada considerations.

With a wealth of experience in mergers and acquisitions, Barbara is known for her ability to help clients plan, coordinate, and execute complex transactions in fast-moving, highly regulated environments.

Barbara has acted on private placements and prospectus offerings for both domestic and foreign registrants and issuers, including investment funds and government agencies. Her work spans a full range of equity and debt instruments, and she has represented offerors, targets, controlling shareholders, and dealers in both exempt and non-exempt takeover bids.

Representative Work, includes:

  • Corporate and specialty team lead to the first Ontario Hospital undergoing a P3 expansion.
  • Represented a party to one of the first mergers of mutual fund dealers under the then newly created MFDA.
  • Represented controlling shareholder group on the $2.25 Billion takeover of a large Canadian mutual fund company by a global investment manager.
  • Canadian counsel to a private-sector consortium bidding on the 30-year P3 to design, build, finance, operate, and maintain the Gordie Howe International Bridge.
  • Canadian counsel on the establishment and expansion of a leading foreign owned energy drink corporation and its Canadian affiliates and on ongoing Corporate and general matters both directly and through a network of agents throughout Canada.
  • Canadian counsel on the establishment and expansion of a foreign owned fruit and milk company and the provision of ongoing expansion, acquisition, compliance and general matters.
  • Lead counsel on the acquisition of a TSX broker dealer and ongoing advice on securities and corporate matters.
  • Corporate and securities counsel establishing Canadian operations for UK and USA based international dealers and provide ongoing compliance and securities advice.
  • External general counsel (3-year mandate) for a predecessor of IRSO acting on conservation and renewable energy projects and contacts.
  • Advising on compliance and other ongoing operational matters.
  • Counsel providing securities, regulatory and other general advice to a number of Ontario-based portfolio managers.
  • Represented a leading global manufacturer of medical beds and related technologies in establishing and expanding its business in Canada.
  • Counsel providing corporate and securities advice to the controlling shareholder of a large Canadian automotive supplier focusing on designing, engineering, and manufacturing systems, assemblies, and modules.
  • Counsel to an international transfer agent and registrar, advising on compliance, securities and other general matters.
